(As revised 25.05.05)
The group shall be called 'BERWICK WILDLIFE GROUP'.
The aims of the group are:
To promote wildlife within the Berwick area.
To raise awareness of fauna and flora and encourage the public to appreciate and enjoy wildlife.
To train local people in the principles and practice of wildlife recording.
To give advice on wildlife management to public authorities and private landowners and occupiers.
To fulfil these aims:
The group will undertake wildlife surveys and monitoring.
Accurate records of sightings, including historic records, will be kept in a computer database.
Results will be analysed and publicised via talks, print and internet media.
Other activities, in furtherance of the aims of the group, shall also be undertaken from time to time as the members see fit.
Money shall be raised when necessary for carrying out the aims of the group and be only used for these purposes.
The area served is principally between the Scottish border to the north, Scremerston to the south, the A1 to the west and the coast at the east, but projects and activities may be undertaken elsewhere as is seen fit by the members.
Membership shall be open to anyone interested in supporting the work of the organisation. The treasurer shall keep a record of members and subscriptions paid.
The organisation shall hold regular committee meetings (at least bi-monthly) to discuss its policy and administration. All members shall be invited to these meetings, and each member present will have one vote. No meeting will take place if less than 4 members are present, including 2 officers.
The annual general meeting will normally be held in May and publicised at least 14 days in advance.
Such officers shall be appointed as are required to conduct the administration of the organisation. These will include a chairperson, a secretary and a treasurer. These officers shall be in charge of the day-to-day running of the organisation, but shall be answerable to meetings of members. A simple majority of members present at meetings can elect officers. Officers will serve for a year at a time and submit to re- election at the AGM.
There shall be an annual subscription to help pay necessary expenses, to be fixed at a members' meeting at such rate as is from time to time thought adequate.
Accounts shall be kept by the treasurer on the normal April to April financial year basis, submitted to an independent inspection and then approved at the annual general meeting.
The group will set up a suitable treasurer's bank account and will elect authorised signatories on a two from three basis.
Reasonable, authorised expenses incurred by group members shall be re-imbursed on receipt of documentation.
If the organisation shall, by general consent of its members, cease to exist, all assets shall pass to another local wildlife body.
This constitution shall only be altered by consent of 2/3 of the members who attend the AGM or at a specially called emergency general meeting*(EGM), where at least 50% of the members attend.
(* Special meetings to be called with at least two weeks notice and publicised to members.)
The chairperson shall have the casting vote in the event of a tie.
